Shareholders' Meeting

Definition

The Shareholders' Meeting (Kabunushi Sōkai) is the supreme decision-making body of a stock company. An annual general meeting must be held within a certain period after the end of each fiscal year. It resolves important matters such as appointment/dismissal of directors, amendments to articles of incorporation, and merger approvals. Resolutions include ordinary and special resolutions.

The total amount of officer remuneration is determined by a resolution at the shareholders' meeting (株主総会).
