Written Resolution

Definition

A Written Resolution (Shomen Ketsugi) is a procedure for making resolutions in writing or electronically without physically holding a meeting. Under the Companies Act, if all shareholders entitled to vote consent in writing, it is deemed that a shareholders' meeting resolution has been passed (deemed resolution). Commonly used by small companies.

Examples

一人株主の場合、書面決議で株主総会を省略できます。

For a single-shareholder company, the shareholders' meeting can be skipped using a written resolution (書面決議).
