Definition
Meeting Minutes (Gijiroku) are legally required documents recording the proceedings of shareholders' meetings, board meetings, members' meetings, etc. The Companies Act mandates the preparation of minutes for shareholders' meetings and board meetings. Minutes must be kept at the head office for 10 years. For written resolutions, the consent documents serve as the equivalent record.
