Promoter / Founder

Definition

A Promoter (Hokkinin) is the person(s) who initiate the establishment of a stock company (株式会社). Promoters draft the articles of incorporation (定款), subscribe for shares at incorporation, and their names are recorded in the articles. At least one promoter is required. For an LLC (合同会社), the equivalent role is the founding member.

Examples

発起人は定款に署名し、設立時の株式を引き受けます。

The promoter (発起人) signs the articles of incorporation and subscribes for shares at incorporation.
