Limited Liability Company (LLC)

Definition

A Godo Kaisha (GK) is a membership company under the Companies Act, modeled after the U.S. LLC. All members have limited liability. Advantages include no notarial certification requirement and lower registration tax (¥60,000). Profit distribution can be set freely regardless of capital contribution ratios.

合同会社は株式会社より設立費用が安く、小規模ビジネスに適しています。

A limited liability company (合同会社) has lower incorporation costs than a KK and is suitable for small businesses.
